General terms and conditions
By signing up for this programme at ultrabee.co.za or any other website operated by Ultra Bee (Pty) Limited, you agree to be bound by these Terms and Conditions of use (‘Terms and Conditions’). If you do not agree with this policy, please do not sign up for this programme. We reserve the right to change these Terms and Conditions, in whole or in part, at any time with or without notice. You should always check these Terms and Conditions prior to using our website. Your continued use of our website following the posting of changes to these Terms and Conditions will signify your acceptance of those changes.

Glossary of terms used:

(a) Sales Partnership Programme (SPP) refers to the network marketing programme created by Ultra Bee which allows individuals to sign up and start selling Ultra Bee products. Any person who signs up for this programme, will be bound by the terms and conditions set out below.
(b) South African citizen refers to any individual who was born in South Africa, and does not have the nationality of any other country and whose birth is registered.
(c) Permanent resident refers to any individual who is of a different nationality, but has been legally granted residency status according to South African law.
(d) Commission refers to the fee paid to an individual as compensation for sales achieved. In the SPP, commission on personal and network sales is the only form of payment you will receive from us.
(e) Member refers to any individual that signs up and successfully registers for the Sales Partnership Programme.
(f) Affiliate URL/or code refers to a unique link or code that you will be given to track the people you sign up and link them to your network.

Sales Partnership Terms of Engagement

By agreeing to these terms and conditions, you confirm that you:

(a) Are at least 18 years or older;
(b) Are a South African citizen or permanent resident;
(c) Accept that you cannot use the Ultra Bee name, logos, product guide and other marketing material unless written permission is provided.
(d) Accept our payment terms and conditions
(e) Accept our returns policy
(f) Accept our confidentiality and non-disclosure terms;
(g) Accept our limited liability and indemnification disclaimer
(h) Acknowledge that should you break any of these terms and conditions, your account may be suspended without prior notice.

Restricted uses
The Ultra Bee website is operated by Ultra Bee(Pty) Limited (referred to as ‘we’, ‘us’ and ‘our’). The contents of the Ultra Bee website, including text, graphics, logos, button icons, images, audio clips, databases and software, are the property of Ultra Bee and are protected by South African and international copyright laws. Except with written permission, none of the material made available to you may be copied, reproduced, distributed, republished, uploaded, displayed, posted or transmitted in any way whatsoever. However, you may download material for your own personal, non-commercial use. This is provided that you agree to abide by any copyright notice or other restrictions contained in any material included in or accessed through the Ultra Bee website and include any author attribution, copyright notice or restriction in any such material that you download. You may not use such downloaded material for any commercial purpose. Modification of the materials or use of the materials for any other purpose is a violation of Ultra Bee’s copyright and other proprietary rights. The use of any of our content on the Ultra bee website, except as expressly provided in these Terms and Conditions of Use, is strictly prohibited.

Payment terms
Payment for commission will be paid once per month, on the 15th day of each month and will be automatically tracked by your dashboard based on sales for each month excluding VAT. There is a minimum commission amount of R500. This is the minimum amount that you must earn before you will be paid commissions. In any commission period, your commission must exceed this amount before you will receive any sums for that period. Commissions below this minimum amount will be held until the commission equals or exceeds this amount. Commission is strictly earned on your personal and network sales for each month. There is no commission earned for referring a person to the programme, you will only earn commission once they have placed their first order, and will continue to receive commission on their subsequent orders. Commission earned cannot be negotiated or disputed and is strictly calculated on orders which are fully paid for. If you elect an account through which to receive your commissions and you later terminate the account or the account becomes unavailable for any reason, Ultra Health will not be responsible for you not receiving the money.

Income tax responsibility
Each member of the programme acts as an independent contractor and as such is responsible for paying income taxes and other tax liabilities that affect or concern the sales of the products or services, in your location. It is the members sole responsibility, and not the responsibility of Ultra Bee or its employees, to take any steps necessary to recover these sums under the applicable laws.

Sales and tracking methods
After signing up for our sales partnership programme, you will receive a unique affiliate URL or code which you will use to advertise our products, as well as the programme. When someone clicks through this URL, a cookie will be set in their browser with your affiliate ID and their IP address may also be logged with your affiliate ID. During the visit to the website or any future visit, commission will be given based on the existence of the cookie within their browser. In order to receive commission for sales, a person or entity must purchase through your unique affiliate URL.
Charging or receiving any payment for assisting your network
If you sponsor a new member, by any means, you should always be willing to assist such members at no charge. If you are unwilling to assist such members without charge, your membership with our Partnership programme will be terminated immediately and any commissions due will be withheld permanently as partial compensation for managing the associated and impacted members.

Obscene and offensive content
We are not responsible for any obscene or offensive content that you receive or view from others while using our website, dashboard or forum. However, if you do receive or view such content, please contact us so that we can investigate the matter. Although we are not obligated to do so, we reserve the right to monitor, investigate, and remove obscene or offensive material posted to our website. Person’s repeatedly found to be posting such content may result in the account being suspended or permanently banned.

Non-disclosure agreement
You agree not to disclose confidential company and product information to any third party in any form or manner whatsoever, either directly or indirectly, any of the Confidential Information without the prior written consent of the Disclosing Party (Ultra Bee). The receiving party (you), or any family, friends, colleagues or advisors cannot use, disclose, exploit, copy, publish, reverse engineer, or permit the use of, any confidential information for your own benefit or benefit of a third party. Should the Receiving Party breach any of the terms and/or conditions of this Agreement, the Disclosing Party is entitled, without any notice to the Party in breach, to seek whatever remedy may be available to the Disclosing Party in the circumstances, including obtaining an interdict and/or claiming damages, in addition to whatever remedy may be available to the Disclosing Party in terms of this Agreement or at law.

Intended audience
Unless otherwise specified, the materials provided are presented solely for promoting products available in South Africa. Ultra Bee manages this website from its offices located in Durban in South Africa. Ultra Bee makes no representation that materials contained in this website are appropriate or available for use in other locations. Those who choose to access this website from other locations do so on their own initiative and are responsible for compliance with local laws, if and to the extent local laws are applicable.

Indemnification
In using the Ultra Bee Website you agree to indemnify and hold Ultra Bee, and its subsidiaries, affiliates, directors, officers, agents, contractors or other partners, and employees, harmless from and against any claim or demand, including reasonable professional advisor’s fees, made by any third party due to or arising out of material or information you submit, post to or transmit through an Interactive Medium, your use of the Ultra Bee website, your connection to the Ultra Bee website, your violation of the Terms and Conditions, or your violation of any rights of another.

Privacy Policy
Ultra Bee is dedicated to maintaining the privacy of its online visitors and users. On this site, Ultra Bee does not collect personally identifiable information from individuals unless they provide it to us voluntarily and knowingly. Information collected from online visitors and users shall be done in accordance with our Privacy and Security Statement, which is available upon request from our Ultra Bee offices. Any information collected is used solely by Ultra Bee and its business partners who are involved in the operation of this site for internal purposes. Ultra Bee’s client lists are never sold to third parties.

Violation and waiver
Should you violate these Terms and Conditions or any other rights of Ultra Bee and/or subsidiaries and/or its suppliers, Ultra Bee and/or subsidiaries and/or its suppliers reserve the right to pursue any and all legal and equitable remedies against you. If Ultra Bee and/or subsidiaries and/or its suppliers should fail to enforce any right or provision in these Terms and Conditions, you agree that this failure does not constitute a waiver of such right or provision or of any other rights or provisions in these Terms and Conditions. If a court should find that one or more rights or provisions set forth in these Terms and Conditions are invalid, you agree that the remainder of the Terms and Conditions shall be enforceable and that, to the extent permitted by law, the court shall give effect to the parties’ intentions, as reflected in any such right or provision that has been declared invalid or unenforceable.

Returns policy
If your Ultra Bee product doesn’t satisfy your expectations due to damaged or expired goods, it will be exchanged for another, provided that you purchase a minimum order of 6 new products for every item returned. The value of the returned items will be credited to your Ultra Bee account, however, this cost will be deducted from your monthly earnings. This guarantee is valid for 6 months from the date of purchase.
Reimbursements/exchanges are subject to the return of the product in its original state. The guarantee does not exclude any statutory warrantees.

Applicable law, jurisdiction and costs
These Terms and Conditions of Use shall be governed by and construed in accordance with the laws of the Republic of South Africa without giving effect to the principles of conflicts of laws. You hereby consent to the exclusive jurisdiction of the High Court of the Republic of South Africa (Witwatersrand Local Division) in respect of any disputes arising in connection with this web site.
